Terms of Service

1. Agreement to Terms

By accessing or using InstaWebsite's services, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

These terms apply to new customers from 26 October 2026. If you were already a customer before then, the changes to failed payments (section 4.4) apply to you from 1 December 2026, and section 6.2 explains how website handover works for you.

InstaWebsite is a trading name of Codemind LTD, a company registered in England and Wales.

2. Description of Services

InstaWebsite provides website design, development, hosting, and maintenance services for small businesses in the United Kingdom. Our standard service includes:

• Custom website design and development
• Web hosting on our managed platform
• One free .co.uk domain registration (new registrations only)
• SSL security certificate
• Unlimited content updates (text, images, minor changes)
• UK-based support (see Section 2A for details)
• Regular maintenance and security updates

2A. Support Services

Your subscription includes the following support:

• Free support: Unlimited email, WhatsApp, and text message support at no additional cost
• Included phone calls: 2 phone calls (one onboarding call and one finalising call), each up to 30 minutes in duration
• Additional phone support: Available at £30 per 30 minutes slot or £60 per 1 hour. Contact us to arrange.

3. Free Trial Period

We offer a 10-day free trial period for new customers. During this period:

• Your website will be designed, built, and made live
• No payment is required during the trial period
• You may cancel at any time within the 10-day trial for £0
• If you do not cancel, your subscription begins automatically on day 11

The free trial is available once per business. If you have had a subscription with us before, a new subscription starts with your first payment.

4. Subscription and Payment

4.1 Pricing

Our standard website subscription is £19.99 per month. This price includes all services listed in Section 2.

4.2 Billing

• Subscriptions are billed monthly in advance
• Payment is processed automatically via Stripe
• Invoices are sent via email
• All prices are in GBP and include VAT where applicable

4.3 No Minimum Term

After your 10-day free trial, there is no minimum term. You may cancel at any time with 30 days notice. We believe in earning your business every month.

4.4 Failed Payments

Missed payments happen, and we will always try to work with you. If a payment fails:

• We email you straight away with a secure link to pay, and remind you again over the following days
• If the payment is still outstanding 14 days after it failed, your dashboard and any work in progress are paused, and your website may be paused, until the balance is paid
• If it is still outstanding 30 days after it failed, your subscription is cancelled. Any unpaid balance remains owed
• While a payment is outstanding we do not start new changes or add-ons. Work we had already agreed with you is finished
• Paying the outstanding balance at any point before cancellation restores everything straight away

If you are going through a difficult time, talk to us before the 14 days are up and we will do our best to agree a plan with you.

5. Cancellation

5.1 During Free Trial

You may cancel at any time during your 10-day free trial with no charge. Your website will be taken offline immediately.

5.2 After Free Trial

After your free trial, you may cancel at any time with 30 days notice. Your website will remain live until the end of your paid period.

5.3 Effect of Cancellation

Upon cancellation:

• Your website will be taken offline
• Your content (text, images) remains your property
• Your website code, files and assets are handed over as set out in section 6.2
• Once your account has no outstanding balance, the domain may be transferred to you (subject to registrar transfer fee, typically under £10)

6. Website Ownership and Portability

6.1 Content Ownership

All content you provide (text, images, logos, branding) remains your property from day one.

6.2 Website Code and Portability

Your website code and design are hosted on our managed platform while your subscription is active. Once you have paid for 12 months of subscription in total and your account has no outstanding balance, we will export and hand over your complete website, including all code, design files, images and content, at no charge if you decide to leave. The only cost is the domain registrar transfer fee (typically under £10), which is set by the registrar, not by us.

If you leave before 12 paid months, you can still have your website handed over by paying the remaining months up to 12 at your monthly price. Otherwise the website is taken offline when your subscription ends, and we will send you your content (text, images, logos and branding) on request.

If you signed up before 26 October 2026, the 12-month condition does not apply to you. When you leave, we will hand over your complete website at no charge, as your original terms said, once any outstanding balance is paid.

Once your website code is delivered to you (whether during or after your subscription), you have full ownership and the right to use, modify, and host it as you see fit.

7. Content Updates

7.1 Included Updates

Your subscription includes unlimited minor content updates, such as:

• Text changes and corrections
• Image swaps (within existing layout)
• Price updates
• Contact information changes
• Adding/removing services from existing pages

7.2 Additional Work

Major changes may be quoted separately, including:

• Complete page redesigns
• Adding multiple new pages
• New functionality or features
• Major structural changes

We will always provide a quote before undertaking additional work.

8. Acceptable Use

You agree not to use our services to:

• Publish illegal, harmful, or offensive content
• Infringe on intellectual property rights
• Distribute malware or engage in phishing
• Send spam or unsolicited communications
• Misrepresent your business or services
• Violate any applicable laws or regulations

We reserve the right to suspend or terminate services for violations of this policy.

9. Service Availability

We strive to maintain 99.9% uptime for all hosted websites. However, we cannot guarantee uninterrupted service and are not liable for:

• Scheduled maintenance (we will provide advance notice where possible)
• Third-party service outages (domain registrars, CDNs)
• Events beyond our reasonable control

10. Limitation of Liability

To the maximum extent permitted by law, InstaWebsite shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Any damages exceeding the total fees paid in the 12 months prior to the claim

This does not affect your statutory rights as a consumer.

11. Intellectual Property

You warrant that all content you provide for your website:

• Is owned by you or you have the right to use it
• Does not infringe on any third-party rights
• Does not violate any applicable laws

You agree to indemnify us against any claims arising from your content.

12. Changes to Terms

We may update these Terms of Service from time to time. We will notify you of significant changes by email or through our website. Continued use of our services after changes constitutes acceptance of the new terms.

13. Governing Law

These Terms of Service are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
